Richard W. Kelly, Jr. has been named as a Shareholder and Director of the firm. Mr. Kelly is a member of the firm’s Real Estate, Litigation and Construction Services Groups. His practice focuses on all aspects of real estate and construction, including real estate, construction and financing transactions as well as construction and real estate related litigation. Mr. Kelly has over 30 years of civil, commercial, real estate and construction litigation experience. He also has extensive experience in alternative dispute resolution, including mediation and arbitration. Mr. Kelly has represented individuals and companies in state and federal courts and in arbitration and mediation forums. He has been a lecturer on real estate law and construction law for the Pennsylvania Bar Institute and other providers of continuing legal education. He was appointed to, and was formerly a member of, the Pennsylvania Joint State Government Commission Advisory Committee on Real Property Law. Mr. Kelly has consistently maintained an AV Preeminent rating – the highest peer rating standard – for legal expertise and ethical standards from the Martindale-Hubble law directory.
Megan Tymoczko-Korch has been named as a Shareholder of the firm. Ms. Tymoczko-Korch is a member of the firm’s Corporate Services Group. Ms. Tymoczko-Korch’s practice includes a wide range of business and corporate transactions, including entity formations, corporate governance, reorganizations, mergers and acquisitions, real estate acquisition, leasing and financing, and the representation of individuals, closely-held companies and large institutions in a broad range of general business and real estate related commercial transactions.
William M. Andersen has been named as a Shareholder of the firm. Mr. Andersen is a member of the firm’s Corporate and Real Estate Services Groups. He counsels companies and individuals in connection with a variety of transactional and risk management matters. Mr. Andersen has extensive experience representing landlords and tenants in the negotiation of ground leases, build-to-suit leases, leases for retail and office space, solar leases, and leases that are the subject of development projects. Prior to joining the firm, Mr. Andersen was Senior Legal Counsel at an S&P 500 real estate investment trust (REIT), where he assisted the company in the ownership, management, and day-to-day operations of its commercial real estate portfolio, including all aspects of leasing, dispositions, acquisitions, due diligence, disputes, and risk management. Prior to his work at the REIT, Mr. Andersen represented clients at an Am Law 100 firm, where his practice focused on corporate legal matters, including entity formation and governance, commercial contracts, and all phases of business transactions. Having been a client himself, Mr. Andersen recognizes the importance of providing business and property owners with efficient legal solutions to sophisticated and complex issues.
Jeremy C. Brown has been named as a Shareholder of the firm. Mr. Brown is a member of the firm’s Corporate, Real Estate, Energy and Natural Resources, Cyber Security, and Financial Services Groups. Mr. Brown’s practice includes an array of corporate and business matters, ranging from entity formation, mergers and acquisitions, private placement investment, commercial transactions and licensing, as well as commercial real estate leasing and transactions. He also counsels energy clients in the acquisition and divestiture of oil and gas assets and related interests as well as technology companies in the development, licensing and provision of software and services. Mr. Brown regularly represents individuals, closely-held companies and large institutions in all aspects of business, from day-to-day operations to large-scale transactions.
Nicholas L. Fiske has been named as a Shareholder of the firm. Mr. Fiske is a member of the firm’s Litigation and Employment Services Groups. His practice includes general civil, commercial and construction litigation matters in both state and federal court. Mr. Fiske has extensive experience in handling complex breach of contract actions, real estate disputes, employment litigation and general liability matters, and a track record of securing beneficial and cost-effective results for his clients. Based on his professional achievements and peer recognition, Mr. Fiske has been selected for inclusion in Super Lawyers Magazine as a 2019 Pennsylvania Rising Star, a distinction given to fewer than 2.5% of all Pennsylvania attorneys.
Mr. Fiske has represented numerous shareholder clients, including company founders and minority owners, in complicated disputes involving claims of minority oppression, breaches of fiduciary duties and securities violations, among others. His command of the law in this area and steadfast advocacy for his clients has helped him repeatedly secure beneficial relief in the form of emergency and preliminary injunctions resulting in the appointment of operating custodians, the reinstatement of managers, the liquidation of assets, and the enforcement of buy-sell provisions in the relevant governing documents, all in furtherance of protecting his clients’ continuing corporate rights. Mr. Fiske’s successful efforts in obtaining significant pre-trial relief highlight his tenacity and desire to secure practical and efficient results for his clients by quickly abating the offending conduct, preserving the clients’ role in the company and protecting the value of the underlying business enterprise at all costs. He also has significant experience in handling transactional matters that arise out of shareholder disputes, including the drafting, negotiation and implementation of separation and interest transfer agreements by and amongst corporate owners.
Jennifer P. Richnafsky has been named as a Shareholder of the firm. Ms. Richnafsky is a member of the firm’s Litigation, Insurance Coverage and Employment Services Groups. Ms. Richnafsky focuses her practice on complex commercial disputes, frequently representing highly-regulated clients throughout all stages of the litigation case cycle. In the insurance coverage context, Ms. Richnafsky represents carriers in coverage disputes arising from fiduciary liability, director and officer liability and employment practices liability policies. Ms. Richnafsky uses sophisticated legal analysis, briefing and oral argument to distill complicated facts and legal theories into accessible, persuasive advocacy. In addition, Ms. Richnafsky frequently negotiates settlements, collaborates with clients to develop successful litigation strategies, and tirelessly advocates for clients before arbitrators and federal and state courts. Ms. Richnafsky also has significant experience advising clients on regulatory investigations and conducting audits of corporate practices for purposes of identifying and remedying potential violations.
David J. Hall has been named as a Senior Associate of the firm. Mr. Hall is a member of the firm’s Energy and Natural Resources, Financial, and Real Estate Services Groups. His practice includes counseling and assisting energy industry clients in formulating and executing their business strategies through acquisitions and divestitures, development of unit operations, joint ventures, joint development and exploration agreements, participation agreements, operating agreements, pipeline right-of-way agreements, and procurement contracts. He regularly represents energy industry clients in connection with regulatory matters, large scale land title due diligence matters, title certifications, land use tension, contract and commercial litigation, and other issues. Additionally, Mr. Hall advises financial institutions, tech providers, and related business clients on all aspects of eCommerce, fintech, multi-state and federal consumer credit and retail financial services, as well as compliance with consumer lending laws and regulations. He also advises clients regarding a variety of real estate transactional matters and related corporate issues.
Amy D. Rees has been named as a Senior Associate of the firm. Ms. Rees is a member of the firm’s Estates and Trusts and Tax Services Groups. Her practice focuses on elder law, special needs planning, estate planning, estate and trust administration, Orphans’ Court matters, and business succession. Ms. Rees has represented individuals in a variety of elder law and estate planning issues focusing on asset protection and preservation of family wealth. She has also counseled Executors and Trustees regarding their fiduciary duties and roles from creation to termination.
Brandon T. Uram has been named as a Senior Associate of the firm. Mr. Uram is a member of the firm’s Corporate, Real Estate, Construction, Energy and Natural Resources, and Litigation Services Groups. Mr. Uram is a business attorney who is a fierce, professional advocate for his clients. Through creativity, thoroughness, and expertise, Mr. Uram is able to craft solutions to his clients’ most complex and important legal issues. Mr. Uram focuses a significant portion of his practice on high-stakes commercial litigation and appeals, with a particular emphasis on construction disputes; shareholder derivative actions; corporate governance and deal litigation; oil and gas matters; and contract and tort actions. In his corporate practice, Mr. Uram provides strategic counseling to businesses, boards of directors, shareholders, and individuals. He routinely drafts and negotiates contracts and provides insight, advice, and services on corporate governance/M&A, avoidance/mitigation, and claim preservation/prosecution. Mr. Uram has extensive experience with both litigation and transactions involving the construction and development industries, including mall developments/redevelopments, schools, water treatment plants, bridges, roads, pipelines, retaining walls, hotels, commercial properties, restaurants, and private residences.
