Mr. Kane is Senior Counsel and Chair of the firm’s Tax practice area and a member of the firm’s Corporate Services, Employment and Financial Services practice areas.
Mr. Kane practices in the areas of tax, corporate law and executive compensation and employee benefits. He has extensive experience counseling incorporated and unincorporated entities on various matters including mergers, acquisitions, dispositions, liquidations and reorganizations, with a focus on tax issues. Mr. Kane also counsels clients on executive compensation and employee benefit issues. Mr. Kane joined the firm following 25 years at BNY Mellon serving as in-house tax counsel and head of the Pittsburgh Tax Office of BNYM. He brings extensive tax planning and transactional experience, having worked on hundreds of mergers, acquisitions and reorganizations. Mr. Kane was lead tax counsel on several multibillion dollar acquisitions and worked extensively on the Mellon Financial Corporation and The Bank of New York merger. He has also worked on many medium and smaller sized transactions where he brings technical expertise with a practical application to everyday business transactions. Mr. Kane has extensive experience with executive compensation, employment agreements, deferred compensation agreements, equity based award agreements, employee benefit plans, fringe benefit plans, and unique corporate aircraft related experience. He led the development and launch of one of the first broad-based employer provided transit/parking benefit programs in the country. He also developed and implemented a broad-based supplemental unemployment benefit plan that produced significant tax savings for both the company and its employees. Mr. Kane was a key contributor and lead on several very significant legislative initiatives, including a reduction to the Pennsylvania Bank Shares Tax that produced millions of dollars of savings to BNYM and to many other Pennsylvania financial institutions. He brings extensive technical expertise with a tenacity and focus on successfully assisting his clients with the application of the tax laws to meet and exceed business and personal client objectives. Mr. Kane worked for a Big 4 public accounting firm early in his career, spending a year in the national office. He is also a licensed Certified Public Accountant in Pennsylvania.
