Springer was recently appointed Co-Chairman of the HEARTH Capital Campaign Committee and a member of the HEARTH Capital Campaign Cabinet.  Prior to his appointment, Mr. Springer has volunteered with HEARTH in many capacities over the years.  HEARTH is a Pittsburgh based nonprofit organization dedicated to providing a progression of supportive services and housing that empowers families to become independent, self-sufficient, and adequately housed and to foster low income housing opportunities to prevent homelessness and encourage safe, affordable housing.  HEARTH accomplishes its mission through its two main programs, Benedictine Place and PRIDE.   At Benedictine Place, HEARTH provides transitional housing to homeless women with children while they work to become economically self-sufficient.  PRIDE is a permanent supportive housing program for women with a mental health or physical disability comprised of scattered site apartments throughout the community.  HEARTH is currently conducting a $1.5 million capital campaign to secure funding for its new home in Shaler Township for the Benedictine Place program.</p>

Springer participated in a panel discussion in Jamestown, New York entitled “The Anatomy of the Buffalo Sabres Acquisition.”  The panel discussion provided the approximately 200 lawyers, other professionals and Sabres fans in attendance with an inside account of the recent acquisition of the Buffalo Sabres by Pennsylvania businessman Terry Pegula and his experienced management team.  An SGK team led by Mr. Lowe represented Mr. Pegula in the acquisition of the Sabres and his subsequent acquisition of the Rochester Americans AHL hockey club.</span><span style="color: #000000;">  Mr. Lowe, Mr. Springer and fellow panelists, Ted Black (Sabres President) and Dave Zygai (Sabres Director of Legal Affairs), discussed the key terms, processes and issues involved in the acquisition of the Sabres, as well as future plans and goals for the organization.  In particular, the panelists discussed common sports team acquisition problems, the due diligence process, negotiations, transaction structuring, the league approval process and the varying roles that lawyers and other professionals play.  </span></span></p>

			<content:encoded><![CDATA[<p>Edward B. Gentilcore is the Chair of the firm&#8217;s Construction Services Group.  He practices in the areas of construction law and complex commercial litigation.  Mr. Gentilcore has represented, both nationally and internationally, a wide variety of owners, developers, architects, engineers, contractors, construction managers, specialty trade contractors, subcontractors and material suppliers in construction-related matters, including those involving design-build, delays, extras, contract negotiations, insurance, surety, payment and lien issues.  He is a LEED AP (Leadership in Energy and Environmental Design Accredited Professional) under the U.S. Green Building Council&#8217;s Green Building Rating System.</p>
<p>Mr. Gentilcore has been a long-standing member of the ABA Section of Litigation Construction Litigation Committee, where he served in a number of different capacities before becoming Committee Co-Chair in 2011.  He is also a 20-plus year member of the ABA Forum Committee on the Construction Industry, where he serves as the Environmental Subcommittee Co-Chair for the Forum&#8217;s Division 10 (Environmental and Legislation). </p>
<p>Mr. Gentilcore has been recognized by The Best Lawyers in America in Construction Law and Litigation and has been named a Pennsylvania Super Lawyer in Construction and Surety Law.</p>
<p>He received his J.D. degree from the University of Pittsburgh School of Law in 1987 (cum laude) and his B.A. from the University of Pittsburgh in 1984 (cum laude).</p>
<p>Mr. Tedder is a member of the firm&#8217;s Construction Services Group and has over 15 years of experience representing clients in complex construction and commercial litigation matters.  In addition to handling complex construction disputes on behalf of commerical and industrial owners, sureties, design professionals, contractors, subcontractors and suppliers, he routinely counsels construction clients with the preparation and negotiation of project contracts and related documents.</p>
<p>Mr. Tedder is a member of the American Bar Association Forum on the Construction Industry, and the Allegheny County Bar Association Construction Law Section.</p>
<p>He received his J.D. from the Duquesne University School of Law in 1996 (cum laude) and a B.A. from Clemson University in 1993 (cum laude).</p>

			<content:encoded><![CDATA[<p style="text-align: left;">The enforcement of non-compete provisions and other restrictions that employers place upon a former employee’s ability to accept new employment remains a trap for the unwary.  Employers and departing employees are both best served by consulting with legal counsel before assuming that any restriction upon future employment is enforceable.  The enforceability of post-employment restrictions depends upon many factors that must be carefully evaluated on a case-by-case basis.</p>
<p style="text-align: left;">Underscoring this point, SGK lawyers were successful at both the trial and appellate court levels in enabling a senior executive to avoid the enforcement of a non-compete clause.  The former employer discharged the executive without cause or explanation and with the executive’s replacement already in the building.  When the terminated executive was offered a high-level position with a potential competitor, the former employer threatened to enforce a non-competition provision in the executive’s old employment contract.  SGK was able to obtain an injunction against the former employer that enabled the executive to accept the new position with the potential competitor.  The Superior Court of Pennsylvania affirmed the trial court’s decision.  In a published opinion, the Superior Court provided further guidance on when non-compete provisions in the employment contracts of discharged employees are enforceable.  The Superior Court stressed the lack of any bright line rules and emphasized the importance of considering the totality of the circumstances surrounding the termination of the prior employment and the new position before concluding whether the post-employment restrictions are enforceable.</p>

Lowe was part of the legal team representing Rangers Baseball Express LLC, the investment group led by Pittsburgh attorney Chuck Greenberg and Hall of Fame pitcher and Texas Rangers President Nolan Ryan, in its acquisition of the Texas Rangers, a long and complex transaction that culminated in the sale of the Rangers through a Chapter 11 bankruptcy auction on August 4.  In the court-ordered bankruptcy auction, Rangers Baseball Express outbid an investment group led by Dallas Mavericks owner Mark Cuban and Houston businessman Jim Crane in a $590 million deal to become the club&#8217;s sixth owner.</p>
<p>On the heels of the Texas Rangers acquisition, SGK represented Pennsylvania businessman Terry Pegula in his acquisition of the Buffalo Sabres in February 2011, and his subsequent acquisition of the Rochester Americans AHL hockey club in June.  In 1983, Mr. Pegula told his business partner Robert H. Long, Jr., “If I ever have more than two nickels to my name, I’m going to buy the Buffalo Sabres one day.”  Now almost 30 years later, Mr. Pegula’s dream has come to fruition.  The SGK deal teams were led by shareholder David J. Lowe, with assistance from Jonathan P. Altman.  Overall, the deal team included seven SGK attorneys from each of the firm’s transactional practice groups, demonstrating the breadth and depth of SGK’s practice.</p>
